Terms

These terms apply to every project and care plan agreed with Saerv Ltd (RC 8789362). A written quote or proposal sets out the scope, price and dates of each project. If it conflicts with these terms, the quote wins.

Each quote lists the pages, features and deliverables included. Work outside that list is quoted separately before we start it. Quotes are valid for 30 days.

• Websites: 50% to start, 50% only when you approve the live site.
• Web applications: 50% to start, 30% when the first build is ready for your review, 20% at launch.
• Prices are in US dollars. Your contract states the amount you pay, converted and fixed when it is issued.

Work starts once the deposit is received. The launch date is agreed when it is.

• On time, or you pay less: If we miss your launch date, you pay 10% less for every working day we are late, up to a quarter of the price. This applies when you send your content and feedback on time.
• Revisions until you approve: We change the design as many times as you need until you are happy. Before launch, you can still ask for improvements to the pages we agreed.
• Pay the balance at launch: You pay part to start. The final payment comes last, only when you are happy with the finished site or application.
• Scores, or we fix it free: Your site scores 95 or more on Google's speed and accessibility tests at launch. If it does not, we fix it for free. Tools you add later, like chat widgets, do not count.

The launch date moves by one business day for each business day that content, feedback or approvals arrive after the agreed window.

Content, access and approvals on the dates agreed, and confirmation that you have the right to use everything you send us, including logos, photos and text.

When the final payment is made, you own the website or application we built for you and its content, and the domain is registered in your name. At launch we hand over the code and set it up in your own accounts, free. If you choose a care plan, we host and run it on Saerv's systems instead, and hand it over free whenever you ask. We may reuse our own general tools and techniques, never your content or branding.

We may show a direct client project on our website and in our brochure, with your permission. Projects delivered through an agency partner are never shown.

Month to month. Cancel any time, and we hand your site over free. Unused hours do not roll over.

Care plans are billed monthly in advance. Hours beyond the plan's allowance are quoted before we do the work.

Agency partners receive 15% off our list prices on builds, extras and care plans. For every partner project we commit to the following, during the partnership and after it ends:

• White label: our name does not appear in the code, the site, the handover or any communication with your client.
• Never listed: we do not show, name or describe the project on our website, in our brochure or anywhere else.
• No poaching: we do not contact, pitch or accept work directly from your clients.
• Confidentiality: your client details, pricing and plans stay confidential.

We build and maintain with care, but we cannot guarantee that a site is never unavailable, or be responsible for third party services, scripts or content added by others. Our total liability for any project is limited to the amount paid for it.

These terms are governed by the laws of the Federal Republic of Nigeria. We will always try to resolve a disagreement by talking first.
